Partner Terms

The terms for Crowdcasting Partners.

These Partner Terms govern participation as a Crowdcasting Partner with Crowdcasting Inc., a California corporation ("Crowdcasting," "we," "us" or "our"). Individual campaigns have their own written terms; where a campaign agreement conflicts with these Terms, the campaign agreement controls for that campaign.

1. Eligibility

You must be at least 18 years old and legally able to enter into contracts. Eligibility for any particular campaign depends on that campaign's requirements, which may include interests, location, audience, professional background or customer profile. Acceptance as a Partner does not entitle you to any specific campaign, assignment or volume of work.

2. Independent contractor

You participate as an independent contractor. Nothing here creates an employment relationship, agency, joint venture or partnership in the legal sense. You control how and when you complete assignments, subject to campaign requirements. You are responsible for your own taxes, and we may be required to issue tax forms reporting amounts paid to you.

3. Assignments

Assignments are offered, not imposed. Each assignment states what is required, what materials are approved, what disclosures are mandatory, and what constitutes completion. You may decline any assignment. If you accept one, complete it as written — including the disclosure requirements, which are not optional.

4. Truthfulness and disclosure

This is the part we do not bend on:

Violating this section is grounds for immediate removal from a campaign and forfeiture of unpaid compensation for the affected activity.

5. Prohibited conduct

You may not: create fake accounts or sock puppets; use bots or automation to simulate activity; spam any channel; send unsolicited commercial email or text messages in violation of CAN-SPAM, the TCPA or similar laws; violate any platform's terms of service; make claims about a client's product beyond the approved materials; make earnings, health, financial or performance claims that were not provided and substantiated by the client; harass anyone; or misrepresent Crowdcasting or a client.

6. Compensation

Compensation depends entirely on the individual campaign and may be based on completed assignments, qualified leads, verified referrals, completed sales, customer registrations, approved deliverables or other disclosed performance events. Compensation is earned only when the qualifying event occurs and is verified under the campaign's verification method. Activity that cannot be verified, or that is reversed, refunded, charged back, cancelled or determined to be fraudulent, does not qualify.

No earnings guarantee. Opportunities, earnings and results are not guaranteed. Nothing in these Terms, on the Site, or in any communication from us is a promise of income. Any figures shown anywhere are illustrative and are not a representation of what you will earn.

7. Equity compensation

Where a campaign contemplates compensation in the form of equity rather than cash, that arrangement is governed exclusively by a separate written agreement executed by you and the issuing company. Equity compensation may involve securities, may be subject to vesting, transfer restrictions and holding periods, may be illiquid, and may become worthless. Participation as a Partner does not itself entitle you to equity in Crowdcasting or in any client. Nothing on the Site or in these Terms is an offer of a security.

8. Content and license

You retain ownership of content you create. You grant Crowdcasting and the applicable client a non-exclusive, worldwide, royalty-free license to use, reproduce, display and distribute content you create under a campaign, for purposes connected to that campaign, unless the campaign agreement says otherwise. You represent that your content is yours, that you have the rights to it, and that it does not infringe anyone else's rights.

9. Confidentiality

Campaign materials, client information and assignment details may be confidential. Do not disclose them outside the campaign, and do not use them for any purpose other than completing the assignment.

10. Termination

Either side may end participation at any time. We may suspend or remove a Partner immediately for a violation of Section 4 or Section 5. Compensation properly earned and verified before termination remains payable under the applicable campaign terms.

11. Disclaimer and limitation of liability

PARTICIPATION IS PROVIDED "AS IS." TO THE MAXIMUM EXTENT PERMITTED BY LAW, CROWDCASTING WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR LOST OPPORTUNITY, ARISING FROM PARTICIPATION. OUR TOTAL AGGREGATE LIABILITY TO YOU WILL NOT EXCEED THE AMOUNTS PAYABLE TO YOU FOR VERIFIED ACTIVITY UNDER THE CAMPAIGN GIVING RISE TO THE CLAIM.

12. Governing law

These Terms are governed by California law, without regard to conflict-of-laws principles. Disputes will be brought exclusively in the state or federal courts located in Los Angeles County, California.
